Audit Committee

The Audit Committee reviews the annual accounts of the holding company and of every registered entity in the group. It sets the internal audit plan, receives each report and tracks findings to closure with the executive who owns them. It is composed entirely of independent directors, and twice a year it meets the independent valuation reviewers with no executive in the room.

Remit

The Committee also holds the whistleblowing summary. Reports reach the General Counsel through whistleblowing@iguako.tech and come to the Committee with the substance, the investigation and the outcome, and with nothing that would identify the person who raised the matter. The Committee judges whether each investigation was adequate and reports the number of reports received to the Board each year.

Decisions reserved to the committee

  • Approval of the internal audit plan and its coverage.
  • Recommendation of the annual accounts to the Board of Directors.
  • Adequacy of investigations arising from whistleblowing reports.
  • Appointment and rotation of the independent valuation reviewers.
  • Closure of audit findings and the treatment of overdue remediation.
