Presence
Nineteen people at Level 9, Grand-Rue Chambers, Luxembourg, under Anselm Kirchhofer-Adebayo, Head of Region, Europe. The office opened in 2022.
Why this domicile
- A holding regime that European institutional co-investors accept without negotiation, which shortens every fund raising the firm undertakes.
- A reserved fund structure that admits well-informed investors only and can be established quickly under an authorised manager.
- A concentration of independent administrators, depositaries and directors deep enough for the firm to outsource execution and keep oversight.
- A location that suits regional management: within an hour of every European office the group runs.
Nineteen people work at Grand-Rue Chambers, the largest European office. Sable Okonjo-Lindqvist, Chief Operating Officer, is based here, and so is Cormac Delacroix-Nwosu, Independent Director and Chair of the Audit Committee. The group operations function sits in the same building: settlement oversight, reconciliations and the management information that reaches the Executive Committee each month pass through it before they go anywhere else.
Fund administration, registrar and domiciliation services are provided by Alzette Fund Administration, appointed when the office opened, and the depositary of the platform is Seefeld Depositary in Zürich. Both arrangements are supervised under the Third-Party Risk and Outsourcing policy, and both are reviewed annually against service levels the hub sets. The replica of the group primary records systems is held in Luxembourg, which is why the office also carries an information security obligation for the whole group.
Substance is a matter of fact here rather than of form. The boards of the holding companies meet in Luxembourg, the people who take their decisions work in Luxembourg, and the accounting records are kept there. Luxembourg is the lead office for the 2028 European phase of Programme Latitude, which scales the fund platform, adds two compartments and increases the regional headcount, all of it funded from realised proceeds.

Regulatory approach
IGUAKO Capital Europe S.à r.l. is a holding company. It is not authorised by the local financial services regulator and carries on no activity for which authorisation is required: it holds shares, receives dividends and lends within the group. The fund platform above it is a reserved structure that is not itself authorised; it is managed by an authorised alternative investment fund manager appointed for that purpose, and it is supervised through that manager, its depositary and its auditor. Beneficial ownership of every Luxembourg entity is filed on the national register within the statutory period, annual accounts are filed with the trade register, and the domiciliation agent that provides the registered office is itself licensed. The regional compliance officer is employed by the hub and reports to the General Counsel in London.
